RXCVRDO

Creator terms

Draft for solicitor review (22 October 2026). Not yet in force. Words in [square brackets] need filling in.

These terms apply when you upload and sell sounds on RXCVRDO Sounds. They're an agreement between you and [Company name] Ltd (company number [number]), registered at [address] ("we", "us"). Please also read our Terms of use [to be drafted] and our Copyright policy.

1. Who can sell

1.1 You must be at least 18 and able to enter a binding contract. If you sell on behalf of a business or group, you confirm you're authorised to accept these terms for it.

1.2 Before we pay you, you must complete identity and payout checks with our payment provider (Stripe). We can withhold payouts until those checks are complete.

1.3 Your account is personal. Keep your sign-in details safe; you're responsible for what happens on your account.

2. What you promise about your uploads

By uploading anything (a "Sound": a sample, loop, one-shot, composition, stem, pack, beat, artwork or description), you promise that:

2.1 you created it, or you own or control every right needed to sell it on the terms of the licences offered on the site;

2.2 any third-party material inside it (including samples, interpolations, loops, presets with embedded audio, vocals and recordings of performers) is either cleared in writing for this use or genuinely royalty-free for resale in this way, and you can show us proof if we ask;

2.3 it doesn't infringe anyone's copyright, performers' rights, trade marks, moral rights, privacy or other rights, and it isn't defamatory, unlawful or offensive;

2.4 you haven't granted, and won't grant, anyone else rights that conflict with the licences buyers get here, especially exclusive rights;

2.5 the information you give (titles, credits, tempo, key, "royalty-free", "includes stems") is accurate; and

2.6 you'll tell us straight away if any of these promises stops being true.

3. Licences to buyers

3.1 When someone gets one of your Sounds, you grant them the licence described on the item's page (and, for beats, the licence they chose). We're not a party to that licence; we host the Sound and handle payment on your behalf.

3.2 Once a buyer has a Sound, their licence continues even if you later remove it or close your account, unless the Sound is taken down because of a rights claim.

3.3 You give us a worldwide, non-exclusive, royalty-free licence to host, copy, convert (for example into previews and waveforms), display, stream previews of, and distribute your Sounds and artwork, and to use your name, artwork and short previews to promote the site and your Sounds. This lasts while your Sound is on the site, and afterwards only as needed for buyers who already have it and for our records.

4. Money

4.1 Tokens: you earn 80% of the money each token spent on your Sound actually brought in, after VAT (if any) and payment fees. Beats: you earn 90% of the sale price after VAT (if any) and payment fees. We keep the rest. We'll show how each figure was worked out.

4.2 Earnings become available for payout 14 days after the sale. This lets refunds, chargebacks and rights claims come to light first.

4.3 If a sale is refunded or charged back, the related earnings are cancelled. If they've already been paid, we can deduct the amount from your future earnings.

4.4 Rights claims: while a copyright or ownership claim about one of your Sounds is open, we can freeze the earnings from that Sound. If the claim is upheld, or you break the promises in section 2, those earnings are forfeited to the extent needed to refund buyers and cover our losses, and we can deduct amounts already paid from your future earnings.

4.5 You're responsible for your own tax on your earnings. We may need tax details from you, and may report payments to tax authorities where the law requires it.

4.6 We may change the split or the hold period by giving you at least 30 days' notice. Changes won't affect sales made before they take effect.

5. Protecting us if something goes wrong

5.1 Indemnity. You'll compensate us, our directors and staff for any losses, damages, fines, settlements and reasonable costs (including legal fees) that arise from a claim that one of your Sounds, or anything you did on the site, broke the promises in section 2 or the law. We'll tell you about any claim promptly, let you know how it's being handled, and not settle it in a way that admits fault on your behalf without asking you first.

5.2 We don't check every upload. We may scan or review Sounds, but we don't promise to, and our not spotting a problem doesn't move responsibility to us.

5.3 Limitation of liability. Except where the law doesn't allow us to limit it (for example death or personal injury caused by negligence, or fraud), our total liability to you under these terms in any 12 months is limited to the earnings paid to you in that period, and we aren't liable for loss of profits, reputation or opportunity, or for indirect losses.

6. Takedowns and accounts

6.1 We can remove or disable any Sound, freeze earnings, or suspend or close your account if we reasonably believe you've broken these terms, a rights claim is credible, or the law requires it. Where we can, we'll tell you why and how to respond.

6.2 If your Sound is taken down after a copyright report, you can send a counter-notice through our Copyright policy. We'll review it and may restore the Sound.

6.3 Repeat infringers: if we uphold rights claims against your Sounds more than [two] times, we'll close your account.

6.4 You can remove your Sounds or close your account at any time. Buyers keep what they already have (section 3.2), and earnings already made are paid out subject to section 4.

7. General

7.1 We may update these terms; we'll give you at least 30 days' notice of significant changes. If you keep selling after they take effect, you accept them.

7.2 If part of these terms is found unenforceable, the rest still applies.

7.3 These terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
